1. Acceptance of Terms

Welcome to SCRLL, a Web3 rewards platform that transforms social media engagement into blockchain-based rewards. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and SCRLL ("Company," "we," "our," or "us").

By accessing or using our browser extension, website, mobile application, or any related services (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

2.1 Platform Overview

SCRLL is a Web3 rewards protocol that:

Rewards users with SCRLL points for authentic social media engagement
Enables brands to create reward campaigns through token burning mechanisms
Operates on the Solana blockchain network
Provides analytics and tracking tools for users and brands

2.2 Key Features

Browser Extension: Chrome and Brave browser extensions for tracking engagement
Social Integration: Connection with Twitter/X, Discord, and other platforms
Point Rewards: SCRLL points earned through verified engagement activities
Brand Campaigns: Participation in brand-sponsored reward programs
Blockchain Integration: Solana wallet connectivity and on-chain transactions

3. Eligibility and Account Requirements

3.1 Age Requirements

You must be at least 18 years old to use the Service
Users between 13-17 require parental consent and supervision
Users under 13 are prohibited from using the Service

3.2 Account Creation

Provide accurate, current, and complete information
Maintain the security of your account credentials
You are responsible for all activities under your account
One account per person; multiple accounts are prohibited

3.3 Verification Requirements

Valid email address and/or phone number
Connection to supported social media platforms
Solana wallet for token transactions (recommended)
Additional verification may be required for high-value activities

4. Acceptable Use Policy

4.1 Permitted Uses

Authentic engagement with social media content
Participation in legitimate brand campaigns
Earning and managing SCRLL points and tokens
Using the Service for personal, non-commercial purposes

4.2 Prohibited Activities

Fraudulent Behavior:

Creating fake accounts or using bots
Manipulating engagement metrics artificially
Participating in coordinated inauthentic behavior
Sharing accounts or allowing unauthorized access

Illegal Activities:

Violating any applicable laws or regulations
Infringing intellectual property rights
Harassment, threats, or abusive behavior
Money laundering or terrorist financing

Platform Abuse:

Attempting to hack, reverse engineer, or exploit the Service
Interfering with other users' experience
Spamming or excessive promotional activity
Circumventing security measures or access controls

4.3 Content Standards

All user-generated content must:

Comply with platform guidelines of connected social media
Not contain harmful, offensive, or illegal material
Respect intellectual property and privacy rights
Be authentic and not misleading

5. SCRLL Points and Token Conversion

5.1 Points System

SCRLL points are earned through authentic engagement activities
Points are internal platform currency tracked off-chain
Points can be converted to SCRLL tokens upon meeting minimum thresholds
Point balances and history maintained in user accounts

5.2 Token Conversion

SCRLL tokens are digital assets on the Solana blockchain
Minimum conversion threshold: 1,000 SCRLL points
Conversion rates may vary based on platform economics and market conditions
Once converted, tokens operate under blockchain rules and market forces
TOKENS HAVE NO GUARANTEED MONETARY VALUE AND MAY BECOME WORTHLESS
We reserve the right to modify, suspend, or terminate conversion services
Conversion may be temporarily or permanently unavailable
Points have no inherent value and cannot be redeemed for cash or other assets

5.3 Earning Points

Eligible Activities:

Following partner accounts (+50 SCRLL points)
Liking tweets (+10 SCRLL points)
Retweeting content (+20 SCRLL points)
Thoughtful replies (+25 SCRLL points)
Visiting partner websites (+10 SCRLL points)

Point Conditions:

Engagement must be authentic and comply with platform terms
Points subject to verification and fraud detection
Level multipliers apply based on user progression
Campaign-specific bonuses may apply
We reserve the right to adjust point earning mechanisms

5.4 Token Management

Minimum withdrawal threshold: 1,000 SCRLL tokens
On-chain conversion requires gas fees (paid by user)
Tokens may be held, staked, traded, or used for platform features
We are not responsible for external wallet management

6. Brand Campaigns and Partnerships

6.1 Campaign Participation

Voluntary participation in brand reward campaigns
Campaign terms may include additional point earning opportunities
Points distributed according to campaign specifications
Right to moderate or exclude inappropriate participation

6.2 Brand Obligations

For Partner Brands:

Must burn SCRLL tokens to activate campaigns
Comply with advertising and consumer protection laws
Provide accurate campaign information
Honor committed point earning structures

6.3 Burn Mechanism

Brands purchase SCRLL tokens from open market
Token burning permanently removes tokens from circulation
Burn amounts determine campaign duration and scope
All burns are recorded on-chain and publicly verifiable

7. Intellectual Property Rights

7.1 Platform Rights

SCRLL platform, software, and technology are our proprietary property
Users receive limited license to use the Service
No transfer of ownership rights to users
All improvements and modifications belong to us

7.2 User Content

Users retain ownership of their original content
Grant us license to use content for Service operation
Must not infringe third-party intellectual property
We may remove infringing content without notice

7.3 Trademark Usage

SCRLL, associated logos, and branding are our trademarks
Unauthorized use of our trademarks is prohibited
Partners may use approved materials per partnership agreements

8. Privacy and Data Protection

8.1 Data Collection

We collect information as described in our Privacy Policy
Social media activity tracking limited to partner campaigns
Blockchain transactions are publicly visible
Users control wallet access and private keys

8.2 Data Usage

Personal data used only for Service operation and improvement

No sale of personal information to third parties

9. Financial Terms and Disclaimers

9.1 Cryptocurrency and Point Value Disclaimers

NO VALUE GUARANTEE:

SCRLL points have no monetary value and are not redeemable for cash
SCRLL tokens are experimental digital assets with no guaranteed value
Token values may decrease to zero or become completely worthless
Cryptocurrency markets are highly volatile and unpredictable
No guarantee of liquidity, trading markets, or exchange availability
Regulatory changes may render tokens unusable or illegal

POINT CONVERSION RISKS:

Point-to-token conversion may be suspended or terminated at any time
Conversion rates are subject to change without notice
Platform may cease operations, making conversion impossible
No obligation to provide alternative redemption methods
Points may expire or be forfeited under certain conditions

INVESTMENT WARNING:

SCRLL points and tokens are NOT investment securities
No expectation of profit should be formed from participation
Platform participation is for entertainment and engagement purposes only
Consult financial advisors before making any cryptocurrency-related decisions

Technical Risks:

Blockchain technology carries inherent risks
Smart contract vulnerabilities may exist
Network congestion may affect transactions
Regulatory changes may impact token utility

9.2 Platform Economics and Sustainability

Platform sustainability depends on brand participation and market conditions
No guarantee of continued operations or point conversion availability
Economic model subject to market forces beyond our control
Points may expire or be forfeited if platform ceases operations
No obligation to maintain token conversion services indefinitely
Changes to tokenomics may affect point and token values
External market factors may impact all aspects of the platform

10. Service Availability and Modifications

10.1 Service Availability

We strive for continuous service availability
No guarantee of uninterrupted access
Planned maintenance will be announced when possible
Emergency maintenance may occur without notice

10.2 Service Modifications

We may modify, suspend, or discontinue features including point earning and token conversion
Point conversion services may be terminated permanently without notice
Accumulated points may be forfeited if service is discontinued
Significant changes will be communicated when reasonably possible
Continued use constitutes acceptance of modifications
Some changes may require updated Terms acceptance
No compensation will be provided for lost points or conversion opportunities

11. Third-Party Services and Integrations

11.1 Social Media Platforms

Integration with Twitter/X, Discord, and other platforms
Subject to third-party terms of service
We are not responsible for third-party platform changes
Users must comply with all applicable platform rules

11.2 Blockchain Services

Integration with Solana blockchain network
Wallet connections through supported providers
Transaction fees determined by network conditions
We do not control blockchain network operations

12. Limitation of Liability

12.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12.2 Liability Limits

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We shall not be liable for any loss of points, tokens, or perceived value
No liability for cryptocurrency value fluctuations, including total loss
No liability for inability to convert points to tokens
No liability for suspension or termination of conversion services
We shall not be liable for indirect, incidental, or consequential damages
TOTAL LIABILITY IS LIMITED TO $0 (ZERO DOLLARS) AS THE SERVICE IS PROVIDED FREE TO USERS
No liability for third-party platform actions or changes
No liability for blockchain network failures or congestion
No liability for regulatory changes affecting token utility or legality

12.3 User Responsibility and Acknowledgment

Users are solely responsible for:

Understanding that points have no monetary value
Accepting all risks associated with cryptocurrency tokens
Securing their accounts and wallets
Complying with applicable laws and regulations
Managing cryptocurrency assets and associated risks
Backup and security of private keys
Making informed decisions about point accumulation and token conversion

By using the Service, you acknowledge and agree that:

You understand points may never be convertible to tokens
You accept the risk of total loss of any perceived value
You will not hold us responsible for market conditions or token performance
You participate voluntarily without expectation of financial return

13. Indemnification

You agree to indemnify, defend, and hold harmless SCRLL, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Any losses related to point or token values
Any claims related to cryptocurrency investments or losses
Your content or conduct on the platform
Your connection to third-party services

This indemnification obligation shall survive termination of these Terms and your use of the Service.

14. Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to:

Blockchain network failures or congestion
Cryptocurrency market crashes or volatility
Regulatory actions or legal changes
Natural disasters or acts of God
Cyber attacks or technical failures
Third-party service provider failures

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

Technical issues may result in loss of access or functionality

17.3 Market Risk

Token markets may cease to exist
No guarantee of liquidity or exchange availability
Economic conditions may eliminate demand for tokens
Competitive platforms may reduce platform value

17.4 Platform Risk

We may cease operations at any time
Business model may prove unsustainable
Key personnel departure may affect operations
External dependencies may fail or be discontinued

BY CONTINUING TO USE THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO ASSUME ALL RISKS DESCRIBED IN THESE TERMS.
